Agreement

This website is operated by Waddell Mergers & Acquisitions LLC, a Florida licensed real estate brokerage (licence number CQ1072300) providing business brokerage and M&A advisory services (“we”, “us”, “our”). By using this site you agree to these terms. If you do not agree, please do not use the site.

What this site is

This site provides general information about selling and buying privately held businesses, along with data drawn from recorded Florida transactions. It is published for information only. Nothing here is an offer to buy or sell a business, a solicitation of an offer, or a recommendation to enter into any transaction.

The valuation calculator and market data

Our valuation calculator produces a broad estimate based on median multiples observed in recorded Florida business sales for businesses of a similar industry and size. It is a starting point for a conversation, and nothing more.

It is not an appraisal, a formal opinion of value, a fairness opinion, or investment, legal, accounting or tax advice. It does not account for your margins, customer concentration, contract mix, management depth, asset base, liabilities, or any of the factors that actually determine what a buyer will pay. Real transactions routinely settle well above or well below the range shown.

The market figures published on this site—including the multiples shown on our locations and industries pages—are derived from transaction records compiled by Business Brokers of Florida. They are medians of past sales, presented as recorded. We believe them to be accurate but do not warrant their completeness or accuracy, they describe past transactions rather than future ones, and they should not be relied on as a prediction of the outcome of any particular sale.

You should not make a decision to sell, buy, price or refuse an offer on a business in reliance on anything published on this site. Obtain professional advice specific to your circumstances.

No advisory relationship until we agree one

Using this site, submitting the calculator, sending us a message or speaking with us does not create a brokerage, advisory, agency or fiduciary relationship. We act for you only once both parties have signed a written engagement agreement, and that agreement—not this page—governs the services we provide, our fees, and our duties to you.

Confidentiality

Please do not send confidential or sensitive business information through this website, by email, or through the chat widget. Those channels are not secure. If you become a client, we will agree appropriate confidentiality arrangements with you and will not disclose your identity or your financial information to a prospective buyer without a signed confidentiality agreement.

Acceptable use

You agree not to use this site unlawfully, to attempt to gain unauthorised access to it, to interfere with its operation, to submit false information, or to extract its content by automated means for republication or for building a competing dataset or service.

Our content

The text, data analysis, charts, design and other material on this site belong to us or our licensors and are protected by copyright and other laws. You may read and share our pages and quote briefly from them with attribution and a link. You may not reproduce our market data tables or analysis in substance, or republish material from this site, without our written permission.

Third-party links and services

This site links to and embeds services operated by others, including business listing platforms and our chat provider. We do not control those services and are not responsible for their content, availability or privacy practices.

Disclaimer of warranties

This site and its tools are provided “as is” and “as available”, without warranty of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement. We do not warrant that the site will be uninterrupted, error free, or that any figure or estimate it produces is accurate.

Limitation of liability

You accept all risk arising from any figure this site produces. The valuation calculator and the market data published here may contain errors, may be incomplete, and may be out of date. To the fullest extent permitted by Florida law, we accept no liability of any kind for any loss arising from an inaccurate, mistaken or miscalculated figure, from any defect in the underlying data, or from any decision you make in reliance on one—including a decision to sell, not to sell, to accept an offer, to reject one, or to price a business at any particular level. You agree that you have not relied on any figure published on this site and that any such reliance would be unreasonable.

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any lost profits, lost business, lost opportunity or lost data, arising out of your use of this site or your reliance on anything published on it. Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud, intentional misconduct or gross negligence. Governing law

These terms are governed by the laws of the State of Florida, without regard to conflict of laws principles. Any dispute will be brought in the state or federal courts located in Lee County, Florida, and you consent to their jurisdiction. Changes
